Yoga Teacher Training Guest Speaker Contract $150

This Agreement sets out the terms and conditions of your participation. In this Agreement, “Community Website” means the online platform currently located at community.prisonyoga.org and any future version or replacement of that website.

Participant Terms and Conditions The Undersigned Participant (hereafter referred to using “I,” “me,” or “my”) agrees to deliver contributions via the Community Website at the dates and times and in accordance with the descriptions and specifications agreed to in correspondence between me and Prison Yoga Project. I hereby grant Prison Yoga Project and each of its subsidiaries, affiliates, agents, advertising or promotional agencies, and partners (“PYP”) an unlimited, nonexclusive, worldwide, non-transferable, and royalty-free perpetual license to use, modify, reproduce, distribute, display, and transmit my content in electronic form over the internet in connection with PYP’s online platform called the Community Website.

I hereby grant PYP the absolute and irrevocable right and permission to use, publish, and broadcast my name, voice, biography, photograph, and/or likeness in its current form or as retouched, digitized, cropped, altered, or modified in any way, in any and all advertising, promotional, or other materials. I also acknowledge that PYP may create derivative works from my contributions for training or marketing purposes so long as those extracts do not misrepresent the overall content of the contribution.

I understand that PYP has sole discretion over what content it selects to use and when such content will be made available. I understand PYP has sole discretion over who is permitted to access the Community Website, including my contributions. I acknowledge that I am not entitled to receive any information about subscribers to the Community Website or anyone who purchases access to my contributions. I acknowledge that PYP may at any time change the format and content of the Community Website.

I acknowledge that an honorarium of US $150 has been offered and shall be paid two weeks post-presentation if accepted. I understand this is a one-time payment and any additional use of my contributions will not result in additional compensation to me.

I represent and warrant that all of my contributions will be free from any claims of infringement or other liability, and that any content I deliver is wholly original and owned by me or that I have the necessary legal permissions and authority to use any such content. Additionally, in consideration for my participation in the PYP and all related activities, including the recording and display of any audio and/or visual content, as well as any activities incidental to such participation, I expressly agree to indemnify and hold harmless PYP and its officers, directors, employees, sub-contractors, sponsors, umbrella entities, agents and affiliates for all claims arising out of my participation in Facilitator Activities, without limitation.

I also acknowledge that PYP has not arranged and does not carry any insurance of any kind for my benefit, trustees, heirs, executors, administrators, successors, and assigns. I represent that, to my knowledge, I am in good health, have no flu-like symptoms, and suffer no physical or mental impairment that would or should prevent my participation. I understand that this document is intended to be as broad and inclusive as permitted by the laws of the State of California and agree that if any portion of this Agreement is invalid, the remainder will continue in full legal force and effect. I irrevocably submit to the jurisdiction of the courts of the State of California in respect of any dispute or claim arising in connection with these terms and conditions. I am of legal age and am freely signing this agreement.
